Ms. Yap Jyy Huey was admitted as an Advocate & Solicitor of the High Court of Malaya in 2010. She commenced her legal career in Messrs Shook Lin & Bok with a special focus in banking and finance litigation. She is now in the partnership of Messrs Kee Sern, Siu & Huey and heading the corporate and real estate department.

  • Advises and represents various foreign and local property developers in respect of property development and management related matters including land matters, joint venture agreements between developers and landowners, lease or tenancy agreements for warehouse facilities and commercial complexes, domestic and cross-border property transactions.
  • Advises and represents a foreign logistic developer that seeks to revolutionise Malaysia’s logistic industry with smart warehousing in respect of all legal matters of its company including the acquisition of industrial lands and its partnership with Employees Provident Fund (EPF). See:-

  • Advises and represents main contractor and sub-contractors in respect of matters relating to construction agreement and equipment leasing agreement;
  • Advises and represents a leading, global provider of end-to-end diagnosis solutions in the disposal of its Malaysia entity;
  • Advises and represents borrowers and lenders on banking and financing transactions, including preparing and reviewing loan and security documents for both retail and commercial loan transactions.
  • Advises and represents employment agency in the preparation of employment contacts.
  • Advises and represents individuals and companies in real estate transactions.
  • Close collaboration with government agency that aims to provide support to foreign investors.

  • Represented a public listed company in a cross-border transaction in negotiating a settlement agreement.
  • Represented a local manufacturing company in a cross-border transaction in negotiating and preparing a distribution agreement.
  • Represented a renowned laundry service company in negotiating and preparing a technology licensing agreement.

Litigation

  • Acted for one of the world’s largest international serviced residence owner-operator in a claim for fraud, conspiracy, breach of contract, negligence and /or knowing receipt. Successfully obtained a mareva injunction order and a judgment after full trial. The High Court’s decision was subsequently affirmed by the Court of Appeal. 
  • Defended a financial institution in a suit for negligence and abuse of bankruptcy proceedings. The case was successfully struck out by the High Court. The High Court’s decision was subsequently affirmed by the Court of Appeal. 
  • Defended a financial institution in a suit for declaration and removal of caveat lodged by the financial institution. Successfully defended the financial institution after a full hearing. The High Court’s decision was subsequently affirmed by the Court of Appeal. 
  • Acted for a financial institution in a claim against the solicitors for negligence. Successfully obtained a judgment after full trial. The High Court’s decision was subsequently affirmed by the Court of Appeal. 
  • Acted for a financial institution in a claim against a vendor cum land proprietor for breach of undertaking and for fraudulently transferring the subject property being the security of the financial institution to a third party. This resulted in a judgment after full trial. 
  • Acted for a tenant in the Federal Court in respect of a tenancy dispute of a renowned shopping complex located in the heart of Kuala Lumpur. Successfully overturned the Court of Appeal’s decision. 
  • Acted for a joint management body in a claim against a developer for a declaration and recovery of monies due and owing to the joint management body. Successfully obtained a judgment in the High Court which was affirmed by the Court of Appeal. 
  • Defended a debt collection agency in a suit for breach of a settlement agreement. Successfully defended the debt collection agency after full trial. 
  • Acted for a financial institution in a forfeiture of property claim. 
  • Acted for a financial institution in a claim for recovery of monies due under the Redeemable Convertible Secured Notes issued by a public listed company with principal activities that consist of hospitality management and property development.
